Section 809. Grounds for Administrative DissolutionThe [Secretary of State] may commence a proceeding to dissolve a limited liability company administratively if the company does not:
Comment Administrative dissolution is an effective enforcement mechanism for a variety of statutory obligations under this Act and it avoids the more expensive judicial dissolution process. When applicable, administrative dissolution avoids wasteful attempts to compel compliance by a company abandoned by its members.
